About the Role

We are seeking a talented and experienced Senior Paralegal to join our team in either our Dallas or Austin office. As a key member of our firm, you will play a crucial role in providing paralegal support and will thrive in our fast-paced environment.


Key Responsibilities

Entity Formations & Maintenance

  • Coordinating with clients to obtain requisite formation data.
  • Drafting corporate governance documents.
  • Submission of SOS filings (various states), including formations, conversions, mergers and foreign registrations via online platforms, fax-filing or mail, as required by each authority.
  • Obtain EINs online or via fax, as required.
  • Submission of IRS filings, including 83(b) elections, 8822-B Change of Address/Change of Responsible Party, 2553 elections (where applicable).
  • Assist with Federal Reg D and State Blue Sky filings

Deal Closing Coordination

  • Generate Excel investor signature trackers.
  • Coordinate with clients and attorneys on document distribution and signature collection strategies.
  • Collect signatures via DocuSign, using individual envelopes and utilize DocuSign’s “Templates” and “Bulk Send” functions for mass distribution, and DocuSign’s “Conditional Logic” functionality for investor accreditation.
  • Coordinate with signers to answer questions relating to DocuSign and investor accreditation.

Document Management

  • Maintain clean cloud-based file management client workspaces and folders.
  • Assist attorneys with occasional cloud-based document management platform issues, including installation, configuration, and integration issues (primarily with Outlook and Workshare).
  • Residual post-implementation of cloud-based document management platform file organization.

Document Drafting & Corporate Governance

  • Word drafting and cleanup, including stripping documents, applying headings, styles, and outlines, and generating cross-references and TOCs.
  • Proofreading.
  • Assist with drafting company resolutions, equity awards, and other basic corporate governance documents.
  • Attend board meetings and draft meeting minutes.


What We’re Looking For in You

  • Seven plus years of experience as a paralegal working on corporate matters.
  • Extensive experience in document drafting and management.
  • High level of attention to detail and accuracy.
  • Strong communication skills – can interact effectively with clients and colleagues.
  • Natural collaborator who works well with other team members to ensure seamless workflow and project coordination.
  • Knowledge of Carta, Pulley, and other cap table management systems.
  • Experience training younger legal assistants and paralegal staff.
