About The Role:

Vela Wood is actively seeking an experienced Commercial Contracts Associate Attorney for either our Dallas TX office OR Austin TX office location. This role offers an exciting opportunity to play a significant role in writing, reviewing and negotiating contracts on behalf of our firm’s clients.


As a Commercial Contracts Associate Attorney, you will be responsible for the preparation, review, and negotiation of a broad spectrum of commercial agreements, including but not limited to client engagements, vendor contracts, licensing agreements, and confidentiality arrangements. You will work in close consultation with clients to gain a comprehensive understanding of their legal and business objectives, and will provide sophisticated, solutions-oriented legal advice to support and advance those interests.


Key responsibilities will include:

  • Execute document drafting, formatting, filing, execution, and distribution
  • Administer, organize, and maintain documents within electronic filing systems 
  • Conduct preliminary research
  • Communicate effectively with attorneys, clients, and state and local agencies 
  • File documents with Secretaries of State, the IRS, and state securities divisions
  • Support DocuSign projects 
  • Generate PDF closing binders
  • Conduct legal research and stay up-to-date on industry trends and best practice
  • Provide comprehensive office support as required

 

Basic Qualifications:

  • 2-6+ years of experience in drafting, reviewing, and negotiating contracts
  • Juris Doctor (JD) and active bar admission in Texas 
  • Strong business judgment, exceptional analytical and writing skills, and the ability to work both independently and collaboratively
  • Excellent communication and interpersonal skills, with the ability to collaborate effectively with cross-functional teams
  • Comprehensive knowledge of contract law and legal principles
  • Demonstrated ability to manage multiple projects and meet deadlines in a fast-paced environment
