Natura Resources is seeking a Contracts Manager to lead contract administration, commercial management, negotiation support, change management, and contractual compliance for the MSR-1 project. This role ensures Natura contracts are properly structured, negotiated within approved parameters, administered consistently, and aligned with project cost, schedule, scope, technical, QA, regulatory, and business requirements.
The Contracts Manager provides corporate leadership for contract formation support, negotiation coordination, contract administration, change management, contractor correspondence, invoice and payment oversight, claims support, and contract closeout.
This role supports development and negotiation of commercial terms, contract scope, pricing structures, change mechanisms, deliverables, payment requirements, contractor obligations, documentation expectations, and performance controls. The role coordinates with Legal on legal-risk terms such as indemnity, liability, intellectual property, insurance, confidentiality, dispute resolution, and termination.

Role Authority
The Contracts Manager has authority to administer assigned contracts, coordinate negotiation positions, manage contractual correspondence, track obligations, support change order resolution, and elevate commercial or contractual risks that could affect project cost, schedule, scope, supplier performance, or company commitments.
The role may negotiate commercial terms within approved parameters but does not independently approve legal-risk terms, contract execution, or material deviations from approved company positions without appropriate Legal, Finance, Project Director, or executive approval.
Responsibilities
Contract Formation and Negotiation
Support the development, review, and negotiation of MSR-1 contracts, purchase orders, amendments, change orders, service agreements, engineering agreements, supplier agreements, and contractor scopes of work. Coordinate internal review of commercial terms, pricing structures, payment requirements, deliverables, milestones, documentation requirements, and contractor obligations.
Work with Legal, Finance, Supply Chain, Engineering, QA, and project leadership to ensure contract terms are commercially sound, technically aligned, legally reviewed, and executable by the project team.
Contract Administration and Commercial Control
Administer assigned contracts throughout the contract lifecycle, including execution, correspondence, notices, deliverables, obligations, amendments, payment support, issue resolution, and closeout. Maintain a clear and traceable contract record, including executed agreements, amendments, change orders, correspondence, approvals, payment records, and contractor performance documentation.
Serve as a primary commercial interface with contractors, suppliers, and internal stakeholders on assigned contracts. Monitor contractor compliance with contract requirements, including deliverables, reporting, documentation, invoicing, notification requirements, insurance, commercial commitments, and applicable flow-down requirements.
Change, Claims, Invoice, and Risk Management
Lead or support the evaluation, tracking, negotiation, and resolution of contract changes, including scope changes, schedule impacts, cost impacts, claims, requests for equitable adjustment, and contractor-submitted deviations. Ensure changes are properly documented, reviewed, approved, and aligned with contract terms, project controls, budget expectations, technical requirements, QA requirements, and schedule commitments.
Review invoices for consistency with contract terms, rate schedules, reimbursable cost rules, milestone requirements, approved change orders, and supporting documentation. Identify contractual and commercial risks that could affect project execution, cost, schedule, supplier performance, legal exposure, or company commitments.
Records, Audit Support, and Closeout
Ensure contract records are organized, complete, retrievable, and suitable for audits, project reviews, regulatory support, financial reviews, tax credit support, and contract closeout. Coordinate with document control and records management to ensure official contract records are properly maintained.
Support lessons learned, contract performance reviews, closeout documentation, and improvements to contract templates, workflows, trackers, and commercial management practices.
