Job Overview: As a Corporate and Transactional Partner, you will be responsible for managing and growing our corporate practice, focusing on complex, high-value transactions. You will provide strategic legal counsel to clients, oversee major deals, and ensure the successful execution of a wide range of corporate transactions. Your role will also involve business development and mentoring junior attorneys.
Key Responsibilities:
- Lead and manage the firm’s corporate and transactional practice, focusing on high-dollar sophisticated transactions.
- Provide strategic advice and legal counsel to clients on a variety of corporate matters, including mergers and acquisitions, private equity, venture capital, joint ventures, and corporate governance.
- Oversee and manage complex transactions from inception to completion, including drafting, reviewing, and negotiating transaction documents.
- Conduct due diligence and coordinate with other practice areas within the firm to ensure comprehensive legal support for transactions.
- Represent clients in negotiations and work closely with their financial advisors, accountants, and other professionals to achieve favorable outcomes.
- Stay current on developments in corporate law and industry trends to provide clients with informed and forward-thinking advice.
- Mentor and supervise junior attorneys and support staff, providing guidance and support in their professional development.
- Develop and implement business development strategies to attract new clients and expand the practice.
- Participate in firm leadership and contribute to the strategic direction and growth of the firm.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Admission to the Florida state bar and in good standing.
- Minimum of 10 years of experience in corporate and transactional law, with a focus on high-value transactions.
- Proven track record of successfully managing and executing complex corporate transactions.
- Expertise in federal and state corporate laws and regulations.
- Strong legal research, writing, and analytical skills.
- Excellent interpersonal and communication skills, with the ability to build and maintain client relationships.
- Demonstrated ability to manage multiple priorities and work under pressure in a fast-paced environment.
- High level of professionalism, integrity, and ethical standards.
Preferred Qualifications:
- Active involvement in professional organizations related to corporate and transactional law.
- Demonstrated success in business development and client relationship management.
