Heartland Joule is seeking an exceptionally organized and proactive Commercial Agreements & Transaction Manager to support one of our strategic clients in managing the commercial execution of large-scale energy infrastructure and data center development projects. This role begins well before agreements are ready for execution. The successful candidate will engage at the start of each transaction to understand the commercial strategy, identify required agreements and commercial workstreams, map the sequence and timing of key milestones, establish tracking mechanisms, and proactively coordinate execution through closing. This individual will serve as the central coordinator for the commercial execution process, ensuring complex, multi-party transactions remain organized, on schedule, and fully aligned across several internal and external stakeholders. This is not a legal drafting role. Rather, the position focuses on ensuring commercial transactions move efficiently from initiation through execution by coordinating stakeholders, maintaining detailed trackers, driving follow-up actions, monitoring critical deadlines, and ensuring required documentation and deliverables are completed accurately and on time. Responsibilities

Transaction Planning & Commercial Process Management

  • Engage at the outset of new commercial transactions to understand the overall transaction strategy, key commercial objectives, stakeholder responsibilities, and anticipated execution timeline.
  • Partner with project teams, commercial leads, legal counsel, utilities, and counterparties to develop and maintain end-to-end transaction roadmaps that clearly define the sequencing, dependencies, milestones, approvals, and critical path for agreements, securities, collateral, deposits, and other commercial deliverables.
  • Identify required commercial workstreams early in the transaction lifecycle and proactively coordinate activities to keep transactions on schedule.
  • Develop and maintain integrated transaction schedules that capture agreement negotiations, utility milestones, collateral requirements, payment deadlines, closing conditions, regulatory milestones, and other key commercial obligations.
  • Anticipate potential schedule conflicts, bottlenecks, or interdependencies and escalate risks early with recommended mitigation strategies.
  • Ensure all stakeholders have clear visibility into upcoming milestones, responsibilities, required decisions, and critical deadlines throughout the life of each transaction.

Commercial Agreement Management

  • Coordinate the lifecycle of commercial agreements from initial drafting through execution. Commercial coordination activities may be associated with any or all of the following: Utility service agreements, Power purchase agreements, Interconnection agreements, Land purchase and option agreements, Easements and right-of-way agreements, Engineering and consulting agreements, Confidentiality agreements, Letters of Intent, Letters of Credit, Parent guarantees, Security deposits, Collateral requirements, Commercial closing deliverables
  • Track status of agreements across multiple counterparties simultaneously.
  • Coordinate document exchanges between internal teams, outside counsel, clients, utilities, and commercial counterparties.
  • Ensure all required approvals, signatures, exhibits, and supporting documentation are obtained.
  • Maintain organized electronic contract files and document repositories.
  • Monitor version control and distribution of agreement revisions.

Process & Workflow Management

  • Develop and maintain detailed trackers for agreements, collateral/securities, milestones, deliverables, and action items.
  • Monitor critical dates, deadlines, notice periods, expiration dates, and commercial obligations.
  • Drive follow-up with internal teams and external counterparties to maintain project schedules.
  • Coordinate recurring project meetings and prepare agendas, meeting notes, and action logs, as they pertain to commercial agreement or securities work streams.
  • Provide regular status updates to leadership and clients.
  • Identify risks or process bottlenecks and proactively recommend mitigations or improvements.


Qualifications

Required

  • 5+ years of experience in one or more of the following: Commercial/industrial and/or energy infrastructure development, Commercial contract administration, Transaction coordination, Contract management, Commercial operations, Project controls, Legal operations, Paralegal support,
  • Exceptional organizational skills.
  • Strong attention to detail.
  • Ability to manage numerous concurrent projects without losing track of details.
  • Outstanding written and verbal communication skills.
  • Professional, responsive, and customer-service oriented.
  • Highly proficient with Microsoft Office (Excel, Word, Outlook, Teams, SharePoint).
  • Comfortable learning new software platforms and document management systems.
  • Ability to work independently in a fully remote environment.

Preferred/Desired

  • Experience supporting commercial transactions involving: Electric utilities, Energy companies, Infrastructure projects, Data centers, Commercial real state, Engineering or EPC firms, Renewable energy, Power generation, Transmission or Interconnection projects
  • Experience with Bluebeam, monday.com, DocuSign or Adobe Sign, or similar programs
