Legal Counsel – Healthcare Transactions 

Location: Remote -  must reside/work in Eastern or Central Time Zones | Type: Full-time | Reports to: Chief Legal Officer 

Compass Surgical Partners is seeking an experienced Legal Counsel - Healthcare Transactions to provide expert legal guidance in healthcare transactions. This role plays a crucial part in supporting the company’s growth initiatives, focusing on healthcare-related partnerships. The Legal Counsel will report directly to the Chief Legal Officer and collaborate closely with the business development team, contributing to the expansion of Compass Surgical Partners and its affiliates. 

Key Responsibilities: 

• Provide legal advice on healthcare transactions, with a specific focus on ambulatory surgery center development.  Will be responsible for drafting, reviewing, and negotiating ambulatory surgery center development and acquisition transactional documents. 
• Draft, review, and negotiate healthcare-related agreements, ensuring all contracts comply with regulatory requirements.  
• Collaborate with business development leaders to support growth strategies, ensuring legal considerations are integrated into decision-making processes.  
•  Conduct due diligence reviews for mergers and acquisitions, providing legal insights and identifying potential risks.  
• Maintain and ensure professional competency through continuous education on relevant legal updates and industry regulations. 

Qualifications: 

• Education: Juris Doctorate from an ABA-accredited law school (required). 
• Experience: At least 4+ years of legal practice, with significant experience in healthcare transactions  
• Licensure: Active license to practice law, in good standing with the relevant jurisdiction. 
• Required Skills: 
• Extensive experience drafting and negotiating contracts related to ambulatory surgery centers, joint ventures, and mergers & acquisitions. 
• Excellent communication skills with a proven ability to collaborate effectively across teams. 
• Demonstrated ability to manage multiple tasks in a fast-paced environment with a high level of organization and attention to detail. 
• Strong problem-solving skills, with a track record of developing innovative legal solutions. 
• Preferred Skills: 
• Experience with healthcare licensing and foundational knowledge of ambulatory surgery center operations.
